Associate - Commercial (IP Transactions) Lawyer, 3+ PQE

PURPOSE OF THE ROLE

  • We are looking for an IP Transactions Lawyer to join our market leading IP practice in London. This role will involve supporting some of the firm's largest transactions within the firm, across a range of industries on the protection and commercialisation of intangible assets and technology.
  • You'll play a key role in advising our long-standing client base of FTSE 100 companies, household-name retailers, biotech companies, technology giants and IP investors with a focus on commercial exploitation, patent and know-how licensing and R&D agreements
  • We're investing further in the life sciences, AI and industrial sectors where there is an opportunity to build the IP practice.

THE TEAM

The IP transactions team sits within our Commercial team. This is a national group, with teams across each AG office working together on national and cross border transactions.

You can expect to be involved in a range of work types for private sector and public sector clients including M&A, R&D agreements; licence agreements; IP acquisitions and sales; franchise agreements; distribution agreements and software licences.

WHAT TO EXPECT IN THIS ROLE

  • Lead and support on a broad range of IP transactions and IP-heavy M&A, including IP advisory work (often alongside our IP Disputes team).
  • Work directly with clients on negotiating IP agreements as well as separation agreements across IP, technology and supply chains.
  • Handle a diverse workload of both large-scale and mid-market commercial transactions, acting either as lead adviser or part of a wider team.
  • Develop and manage long-term relationships with clients, becoming a trusted adviser across their IP and commercial legal needs (alongside our Brands team who handle IP portfolio work).
  • Provide mentorship and supervision to junior lawyers and contribute to internal knowledge sharing and team growth.
  • Support the team in business development and thought leadership, identifying opportunities to deepen client engagement.

YOUR AREAS OF KNOWLEDGE AND EXPERTISE 

Essential

  • Qualified lawyer with significant post-qualification experience (3yr PQE upwards) in IP transactions and advisory work.
  • Demonstrable experience advising on patent, life sciences and technology agreements
  • Confident leading transactions and managing client relationships
  • Consultative and strategic in approach – able to translate legal advice into commercial value
  • Able to manage multiple workstreams and deliver to time-critical schedules

Desirable

  • Sector experience in life sciences, defence, industrial and retail & consumer
  • Familiarity with AI regulatory issues and Competition issues to the extent relevant for IP sharing and technology development
  • In-house experience or client secondments, demonstrating strong commercial judgement
